The agreement between you and Share Slate Inc. for the use of Vorkar.
These Terms govern your access to and use of Vorkar (the "Service"), provided by Share Slate Inc. ("Share Slate", "we", "us"), a company incorporated in the United States. By creating an account or using the Service, you agree to these Terms. If you accept on behalf of an organisation, you confirm you have authority to bind it ("you", "Customer").
If we sign a separate written agreement or order form with you, that agreement controls where it conflicts with these Terms.
Vorkar connects to systems you configure, correlates records across them, and answers questions about them. Answers are generated from data returned by your systems at the time of the query, with sources shown.
Vorkar is a diagnostic and informational tool. It does not guarantee that any answer, correlation or diagnosis is complete or correct, and it is not a substitute for your own judgement — see section 10.
As between us, you own your data and the content of the systems you connect ("Customer Data"). You grant Share Slate a limited licence to access and process Customer Data solely to provide the Service to you.
You confirm you have the right to connect the systems you connect and to let Vorkar access that data. You are responsible for what you choose to connect and for configuring the record filter to reflect your own policies about what may be sent to a language model — see the Privacy Policy, section 4.
We do not sell Customer Data and do not use it to train models.

Vorkar is priced by usage with a $0 platform fee. Two dimensions apply, as published on our Pricing page: connections are charged per connection, per environment, per year; users are charged as a flat monthly seat that does not vary by the number of environments. Plans (Evaluator, Pro, Business, Enterprise) set the limits that apply to your account.
The Service connects to third-party systems and providers you choose or that we use to operate the Service (including a cloud host and a language-model provider). We are not responsible for those third parties' availability, changes or acts. Your use of them is governed by your agreements with them.
We aim to keep the Service available and will make reasonable efforts to do so, but we provide no uptime commitment or SLA unless one is expressly agreed in writing with us. Support is provided by email at support@vorkar.io on a commercially reasonable-efforts basis during US business hours — we describe our realistic response expectations on the Support page and do not promise more.
We may modify or discontinue features. If we materially reduce a feature you're paying for, we'll give reasonable notice.
Each party may receive the other's non-public information. The receiving party will protect it with at least reasonable care, use it only for the purposes of these Terms, and not disclose it except to those who need it and are bound by similar obligations, or where required by law.
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ANSWER, CORRELATION OR DIAGNOSIS WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR VERIFYING ANYTHING YOU RELY ON FOR A CONSEQUENTIAL DECISION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. For the free Evaluator plan, our aggregate liability is limited to US $100.
These limits don't apply to your payment obligations, either party's breach of confidentiality, or liability that cannot be limited by law.
You will defend and indemnify Share Slate against third-party claims arising from your Customer Data, your systems, or your use of the Service in breach of these Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and each waives any objection to venue there. The UN Convention on Contracts for the International Sale of Goods does not apply.
